Purpose Statement:
The Legal Counsel shall provide, under the supervision of the Legal and Compliance Counsel for MENA, Turkey and South Africa, legal and compliance advice and counsel to Boston Scientific in a variety of areas and offer compliant alternatives and solutions for our businesses and employees in the Gulf region, including but not limited to KSA. In this role, Legal Counsel I will meet regularly with the regional legal department, and country and division leadership and is expected to advise on risks and to collaborate with all levels of the organization.
Key Responsibilities :
• Structures and negotiates commercial contracts, tenders, partnership arrangements, service agreements, supply/manufacturer, distribution, consulting, non-disclosure, real estate, research, clinical investigator, asset purchase, business acquisitions & mergers, healthcare professional related interactions and agreements and other areas as may be needed to ensure BSC’s business interests are protected and advanced.
• Advises on Channel Partner (e.g. sales agents and distributors) sales models, practices and post- termination issues.
• Helps with developing efficient legal processes that appropriately mitigate risk for innovative business and commercial deals models.
• Advises and trains on anti-corruption compliance, health care provider interactions and the applicable medical device industry code.
• Helps the business structure new deal models and entity or selling structures.
• Advises on export and import laws, custom regulations and licensing.
• Participates in the Global Legal Department meetings and projects, including consistency and efficiency initiatives within the EMEA Legal and Compliance Department.
• Helps with litigation strategies involving the company in the Gulf region, working with and directing outside counsel(s).
• Advises human resources department on content and implementation of policies and procedures and on labor and employment matters.
• Advises the business on healthcare related compliance matters and supports the compliance team with the day to day compliance related requisitions and questions, as may be needed.
• Represents Boston Scientific in local medical device trade association or legal and compliance committees as may be directed by the manager.
• Provides legal counsel and support in acquisitions by the company, including conducting due diligence, advising on employment and benefits issues, facilitating transfer of legal responsibilities, assisting and advising on other acquisition-related issues as they arise, and directing outside counsel in assisting the company with acquisition issues as needed.
• Supports the manager with legal and compliance affairs pertaining to countries outside of the Gulf Region if and when requested.
• Provides legal and compliance assistance in other areas as needed.
• Updates the manager and local management, proactively, on new laws and regulations that may impact the business.
Position Requirements:
• Qualified to practice law within the Gulf Region.
• PQE: 5 years of legal experience.
• Direct law firm or in-house experience advising Pharmaceutical, Biotechnology or Medical Device companies preferred.
• Must be comfortable working directly with high energy, innovative business clients and be able to clearly articulate positions and find compliant solutions to various matters.
• Must be able to operate and make decisions autonomously and know when to consult with manager on decisions.
• Moderate travel.
• Languages: fluent in Arabic and English is a must.
