الوصف الوظيفي Manages the activities of personnel assigned to the Legal Department. Performs the supervisory duties and exercises the financial authority at the level established by the Management for the position. Defines the legal structure based on Management directives, constructs the form that the agreements will take and formulates clauses for all legal documentation for and its subsidiaries. Advises and updates the Management on certain outstanding cases or legal matters on a regular basis. Structures and formulates any outstanding claims for arbitration by the Company. Prepares and presents to the adjudicating international body for the ruling. Advises, provides legal input and drafts contracts such as but not limited to agency, distributorship, supply, sale, turn-key, joint venture, loans, transportation, security, consultancy agreements etc. Prepares security documentation regarding banking and financial matters. Advises the Management on the legal structure of joint ventures, acquisitions, equity participation of particular projects. Assists in developing contracts strategy by examining contracts from legal aspects. Maps out strategy on certain issues to ensure protection of the Company regarding any investments domestically. Liaises and coordinates with external counsels and outside lawyers contracted by the company for legal advice in host countries. Monitors the work prepared and analyzes the findings and work of the respective external counsels. Contracts legal counsel on discretion regarding certain issues of foreign elements in the law to ensure the protection to the Company’s investments overseas or where foreign law issues are involved. Coordinates, cooperates and assists the Management on matters dealing with Government Departments which may have legal implications or which may need Arabic drafting. Contacts and visits Government Departments in order to discuss matters of legal nature and to determine the appropriate options available to the Management. Oversees the preparation of all requisite legal documents and reports which are required to be in the Arabic language. Advises the Corporate Affairs Department on all legal aspects of Shareholders’ matters and potential legal ramifications of certain actions, and provides comments, information and any other assistance which may serve the interest of both the Company and the Shareholders and ensures that all documents issued regarding shares transactions are done on proper legal framework. Maintains a complete filing and record system of the Legal Affairs Department. Keeps in safe custody the originals of Agreements, Contracts, Board resolutions, General Assembly Minutes and Resolutions, Contracts of Incorporation and Bylaws and other statutory documents of the Company. Translates into English or vice versa all Company legal documents in order to keep record of Agreements, Contracts, Powers of Attorney, Authorizations, Proxies, Board Resolutions and Minutes and Shareholders’ Resolutions in both Arabic and English languages. Also translates into English all new laws, Regulations, Rules, Decisions issues by the relevant authorities to keep the Management up-to-date on any legal changes in the law which may affect or reflect on the Company’s operations. Liaises and coordinates with Sales, Finance and Collection Departments in the Company for receivables and delinquent customers, prepares legal documents and arranges for legal proceedings against individuals and/or companies who default in payment for goods received after consultation with the Management. Follows-up and advises legal representatives of the Company about Court procedure, legal matters and prepares responses to the adjudicating body through the legal representative or the Company for ruling. Follows-up regularly with the concerned departments to ensure that working documents of the Company (such as trademark, commercial registration, industrial license, Zakat and Income Tax Certificate, Chamber of Commerce Membership etc) are renewed on time and kept up-to-date. المهارات 1. Bachelor degree in Law 2. 10 Years’ experience as Legal Advisor, preferably in a Manufacturing Industry 3. Must have adequate exposure in interpretation of Industrial & Labour Laws 4. Very good written and spoken Arabic and English. 5. Good Computer skills and advance knowledge of MS Office. 6.
