. JOB OBJECTIVE
To provide legal advice on a wide range of matters relating to existing or potential investment transaction, through application of sound, commercial, well-researched legal advice and expertise in order to protect the interests of the organization in situations or decisions with legal consequences.
2. RESPONSIBILTIES
Planning
· Actively contribute in developing and implementing department’s tactical plans in order to enable the achievement of departmental needs and objectives.
Policies and Procedures
· Assist in the development of legal department’s policies, system, processes, procedures, guidelines and controls to ensure that the department’s operations meet the need of SC.
Day to day Role
Work closely with other teams in order to provide them with all necessary legal advice for them to achieve their goals and to protect the interests of the organization.
Review and draft transaction documents for asset management teams (funds, private and public equity, real estate, money market) ensuring thorough assessment of the documentation and surrounding legal issues.
Supporting transactions and the work of the operations and product development teams through to the closing of any transaction.
Ensure proper due diligence in all legal matters.
Assess legal risk and advise accordingly.
Draft and review commercial contracts and legal agreements.
Assist senior management in proactively managing and mitigating legal risk.
Actively participate in managing and developing an effective centralized in-house legal function by:
Identifying and recommending controls on the business unit’s entry into contractual arrangements
Mitigating exposure to legal risk from third parties by reviewing all contractual arrangements, including signing off all contracts and agreements before presentation for financial and management sign off
Ensuring compliance with all legal rules and regulations in the various jurisdictions in which the firm operate.
As required deal with key government bodies, locally and internationally, to ensure that the interests of SC, its funds and clients are protected.
Best Practice Monitoring
Keep up to date with the best practices and changes in the relevant legal field, to monitor practices of SC on a pro-active basis so that the probability of potential disputes is minimized.
Interface with External Legal Resources
Liaise with external legal firms and bodies as assigned for supervision and handling of legal matters on an efficient and cost effective basis.
Closely monitor external legal expenditure against pre-approved budgets. Assist senior management in identifying legal resources and suitable firms where required.
Coaching and Training
Train and coach juniors to help them develop and understand the business and its legal needs, and become active contributors to the organization’s legal function.
3. QUALIFICATIONS, EXPERIENCE, AND SKILLS
Minimum Qualifications:
Bachelor degree in law or equivalent.
Minimum Experience:
Significant previous experience in a large law firm or investment banking/asset management environment.
Job related experience requirements (based on assigned areas within the Legal Department)
Funds: Experience should include high-caliber exposure in dealing with establishment of investment funds covering a broad range of markets and assets (e.g. private and public equity, real estate, money market issued within KSA and Internationally) with involvement in providing legal and regulatory advice along with the review and drafting of contractual documents in Arabic and English.
Corporate: Experience related to corporate and commercial law involving advice on day to day business matters and commercial agreements including review and drafting of many different contracts. Exposure of providing counsel in a broad range of corporate activities. Experience within GCC market is essential. Experience of working with international companies present in several jurisdictions is also expected.
Finance & Capital Markets: Strong experience in financial sector work through the full economic and credit cycle, including a substantial period in-house with a major institution (i) Capital Markets, including typical terms and conditions for funds, investment grade bonds, high-yield corporate bonds and bank regulatory capital, IPOs and secondary equities issues, strong grasp of due diligence procedures and prospectus analysis; (iv) Banking and security documentation; (v) Regulatory issues affecting financial services and systemic risk, including interaction with regulators and major central banks.
