The purpose of the Legal Department is to defend the interests of RATP DEV group (the “Group”), its executive employees, and contribute to its development by implementing relevant legal expertise.
The legal function is also responsible for ensuring that the Group’s regulations and more generally corporate governance are enforced throughout the BU and branches.
Its structure mirrors the structure of the Group and comprises on two components:
1. A team of lawyers in charge of each of the business divisions of the Group (Business Units), regardless of their geographical localisation (major projects legal counsels/ and local legal counsels); and,
2. A team of lawyers based in Paris in charge of legal tasks transversal to the Business Units, with specific expertise (M&A;/ Governance, Corporate, Company Law matters / Contracts/ Public law matters/ Litigation / Arbitration/ Criminal law / IP/ Ethics & Compliance).
In order to best contribute to the operations of the Group, the Legal Department constitutes a function that is coherent and indivisible worldwide, regardless of the reporting line of each lawyer.
In this respect all in-house lawyers belong to the Group’s Legal Department, and respectful of RATP DEV values they endeavour to favour the general interests of the Group.
In-house lawyers that are locally based are thus considered to be an extension of the Legal Department Group to which they fully belong.
This role will be in charge, under the conditions detailed herein, of part of the legal support activities of the BU in the Middle East region.
Responsibilities:
In charge of corporate law for all the companies within the Middle East Area (i.e. to date, Saudi Arabia, UAE and Qatar) in coordination with the Management teams of the relevant companies and the Legal Department and report on a timely basis to Paris HQ Legal & Compliance Director for Governance purpose;
In charge (in close coordination with the head office), for his/her portfolio of existing companies (Middle East), of all the typical activities inherent to running said companies: planning General Meetings (preparation of resolutions, agendas, proxy etc.…), drawing up minutes for General Meetings, Board of directors, supporting preparation of Supervisory Boards, change of executives as the case might be, delegations of authority etc.
Involved in Company law and M&A;matters regarding the local companies: transfer of shares, capital increase, capital reduction, etc.
Liaising closely with the Legal Head Office based in Paris, this role will manage the relationships with local authorities, in view of ensuring the continuity of the business (licences, permits, registration of newly created companies, public notaries).
Ensures the implementation of intra-Group contracts regarding the provision of services among the subsidiaries of the BU.
Involved in negotiating, drafting and executing day to day agreements and contracts on behalf of the group within its activity in the Middle East.
Ensures roll out and compliance with the Group rules and procedures within the BU and in particular within the local subsidiaries, in collaboration with the other members of the Legal&Compliance;Department (e.g. Ethics & Compliance).
In charge of implementing and ensuring compliance matters locally together with the international compliance rules and procedures (Group’s corporate governance policies).
Will provide legal support to the business development and tendering activities of the BU in Middle East, if requested.
Implementation and/or participation and/or animation of training and communication actions designed to facilitate understanding of, and compliance with, legal regulations, Group procedures and best practices.
Contribution to the implementation of best practices, golden rules, contract templates in accordance with the rules of the various countries of the region.
Is in charge of reporting major events (pre-litigation, litigation, etc.) to the HQ Legal &Compliance;department.
Supports from time to time the contract managers of the various subsidiaries in related areas.
Is able to negotiate or support the negotiation of variation orders, define pre-litigation and litigation/ Arbitration strategy as the case might be.
The Legal Manager will be the main interlocutor for the AMENA BU for all legal questions concerning ongoing activities within this role’s scope in the Middle-East.

Work/Job Experience Requirements:
Must have 10+ years of experience gained in large law firms and/or in-house for major firms on a international basis.
Strong knowledge in Competition and compliance international laws and regulations.
As a single lawyer locally based, shall have a perfect ability to work autonomously and be proactive to identify their daily scope and define the legal priorities of the assigned geographical area.
Based in Dubai. Travel will be required as part of the role within the AMEA region and in the rest of the world if required.
Educational Requirements
Must have a law degree (Master II/ LLM/…) from a recognized university
Preferred Skills
Languages: English must be fluent, Arabic and/or French: would be a plus.
Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization
