Scope of Work: · Access to capital by attracting top VC funds and investors to increase the pool of capital available to startups and VCs in Abu Dhabi. · Access to a favorable business environment through our partner, Abu Dhabi Global Market (ADGM), which is best placed to improve the ease of doing business for startups. · Access to global markets through Mubadala Investment Company’s network of more than 60 global assets under management in 15 sectors. Role Purpose: · Provide corporate legal and governance support to Hub71, manage and administer Hub71 contracts. · Become the Trusted Advisor for Legal, Compliance and Regulatory matters in relation to Hub71. · Handle day-to-day employment and regulatory questions and issues. · Ensure good corporate governance, in particular with respect to the Company’s Delegation of Authority. · Providing sound commercial legal and regulatory advice to the business functions, and its assets and subsidiaries, as required, ensuring compliance with the defined legal framework and protecting the company’s legal interests. · Partnering with transaction teams throughout the transaction execution process through conducting pre-contract risk assessment, transaction and project structuring and execution and post-completion management. · To cater to the business function’s needs and protect its interests at appropriate risk level by identifying and assessing legal, regulatory and commercial risks, and developing risk mitigation strategies to minimize exposure to uncontrolled risk. · Providing advice on drafting contracts, and increasing awareness on application of laws and regulations to support in securing beneficial and commercially advantageous opportunities. · Developing, reviewing and/or negotiating agreements, contracts and relevant legal documentation for the business functions, its subsidiaries and assets, as applicable. · Ensuring compliance with all applicable local and/or global laws, rules and regulations. · Attending internal and external meetings, as required, to discuss the legal and regulatory aspects of the business operations. · Ensuring that the business function’s rights vis-à-vis third parties are adequately protected, and support in managing litigation or court proceedings where necessary, and defend Hub71 and its shareholders against any claim or legal action. · Developing and updating standard documents and terms of business, and continuously identify opportunities for standardization. · Recommending (within guidelines) the services of external legal service providers, and managing the relationship to ensure output is produced in a timely and cost effective manner, and in line with set standards and expectations. · Recommending improvements to functional procedures, and ensuring implementation of policies, procedures, systems and controls covering the assigned areas of responsibility. · Identifying opportunities for the continuous improvement of systems, processes and practices taking into account ‘international leading practice’, in order to improve business processes, and increase operational effectiveness. · Managing budgets and monitoring spending. · Leading start-to-end transaction activities and teams (internal and external). · Leading the budget preparation process for projects and legal matters related to the assigned business function. · Providing support on legal strategy development and annual business planning for the platform by providing critical input. Frameworks, Boundaries and Decision making Authority: This position reports to and executes its mandate under the supervision of the Legal & Governance at Mubadala Capital. Communications and Working relationships: Internal: Across the Mubadala Capital. External: Vendors and service providers; Government entities and agencies; regulators; and third parties. KNOWLEDGE, EXPERIENCE AND SKILLS: Knowledge and Experience: · Law Degree with qualification to practice law ideally in USA, UK or UAE. · 5+ years’ PQE either in house or in commercial law practice. المهارات · Proven ability to advise and guide management teams on legal issues with an emphasis on helping the business to grow and operate with managed risk and regulatory compliance. · Strong commercial awareness and business acumen. · Strong interpersonal skills and ability to create and maintain good working relationships. · Fluent English. · Ability to identify and analyze basic corporate legal issues. · Demonstrates clear and concise verbal and written communication skills. · Highly motivated and results oriented with good project management. · Ability to work collaboratively within a team environment under time pressure. · Strong drive to develop improved and efficient processes. · Organizes time to execute assigned tasks in line with Hub71’s goals.
