Advise the company and its subsidiaries concerning legal rights and obligations through expert opinions in jurisprudence and regulations as per Saudi Law to protect the interest of the company and its shareholders and to act as business partner with the operation team under the supervision of the Group Chief Legal Officer.
advise on labour and employment matters including disciplinary actions.
Advise on various legal and legislations aspects and their implementation on the company business activities.
Provide sound advice for the management and operation teams on any legal related aspects.
Advise on transaction structure from legal and investor protection prospective.
Advising on corporate and corporate governance related issues.
Draft and assist with the preparation of M&A;related issues.
Draft and review various types of contract, agreements like Shareholders Agreements, Distributorship Agreements, Franchise Agreement, Service Agreements, lease contracts, MOUs, LOIs and other types of legally binding/non- binding documents and ensure that the company interests are well addressed and protected.
Advise and assist on various legal compliance related aspects.
Represent the legal department in any matter or any committee or special committee set up where LD is part to.
Provide any needed legal assistance or legal work as designated by the Group Chief Legal Officer from time to time.
Coordinating with various departments across the Company in relation to various related legal matters.
Act as Board and committee’s secretary and ensure that the respective meetings are well managed.
Prepare legal department reports and presentation and any other reports and presentation as directed by the Group CLO.
Preparing and maintain administrative legal department documents and files necessary for the entire company.
Review and advise on various policies and procedures and ensure their compliance with applicable laws and regulations.
Pro-active analysis on various related legal matters.
Undertaking legal research and other ancillary works.
المهارات
Knowledge in different Saudi and related International laws, regulation and legal procedures.
Knowledge in drafting and reviewing various types of agreements and contracts including shareholder’s agreements, Distributorship agreement, Franchise agreements, Lease Contracts, NDAs, MOUs, LOIs...etc.
Knowledge in Board/Committees secretarial role and ability to draft minutes of meetings and follow up on Board action items.
Bachelors’ Degree in Laws and regulations from reputable university with acceptable degree and admitted to recognize Bar like the Saudi Bars Association
Lawyer’s certificate
4-5 years’ experience in legal field for a reputable law firm or in big companies.
Fluent in Arabic and English – bilingual (speaking and writing)
