ES1301 - Compliance Attorney
Non-negotiable requirements:

This position supports the Group 42 and manages Legal Compliance activities, reporting to the General Counsel. Group 42 is located in Abu Dhabi in the UAE. Group 42 is a well-funded start-up, on a mission to build the largest cloud in the UAE and to offer artificial intelligence capabilities. Group 42 is the holding company that houses several companies focused on different domains including healthcare, government and smart cities, finance and commodities, oil and gas, research etc. The common denominator of each domain-related subsidiary is technology, as the group seeks to use artificial intelligence and cloud computing to provide solutions to the UAE government and the other sectors it operates in.
The Compliance Attorney will support the Firm’s risk management function, acting as a resource and managing certain functions within the conflicts of interest process. Specifically, the Compliance Attorney will assist with drafting and obtaining engagement letters and waivers, reviewing and summarizing Outside Counsel Guidelines, and assisting the General Counsel of Group 42 with formal ethical screens as needed.
Essential Responsibilities
· Serves as the first point of contact on a priority basis, regardless of time zone, with respect to all ethics and legal compliance issues arising in the Region ensuring legal governance.
· Monitors compliance risk and ensures that the Group Counsel and CEO are immediately aware of significant ethics and legal compliance issues that may arise in the Region.
· Coordinates closely with Group Counsel.
· Promotes a comprehensive compliance program suitable for the needs of the company and provides strategic business advice to internal clients regarding compliance issues, thereby driving a completely compliant culture.
· Take initiative to identify, address and evaluate potential compliance-related issues as well as appropriate steps for resolution.
· Escalate appropriate sensitivity issues to the Group Counsel, Evaluate potential conflicts of interest and identify appropriate steps for resolution.
· Support other group attorneys in reviewing and interpreting conflicts reports.
· Complete conflict reports and assist with drafting supporting documentation as well as follow-up to ensure potential issues are addressed and resolved.
· Liaise with partners with respect to obtaining engagement letters and necessary conflict waivers.
· Develop expertise on conflicts rules and approaches in specific practice areas, and possess and maintain knowledge of conflicts rules.
· Work closely with Conflicts Attorneys to review all incoming conflict questionnaires and reports for summer and incoming associates as well as lateral hires.
· Assist attorneys & other counselors with constructing informational barriers and work closely with the Senior Manager to ensure the establishment of appropriate barriers and supporting documentation.
· Keep abreast of current legal and other developments that may affect the Firm’s conflicts of interest procedures.
· Any additional responsibilities as required by management.
Risk Assessment:
o Actively promotes the Ethics and Legal Compliance Program as a competitive advantage among employees, clients and stakeholders.
o Training & Communication: -
o Oversees, plans and participates in ethics and compliance educational efforts in the Region.
o Develops customized, interactive education and training programs for particular business units or categories of employees in the Region tailored to local laws, regional need, trend analysis and/or risk assessment.
o Advises HR in developing and implementing compliance content for new employee orientation programs in the Region.
o Ensures (i) that there are regular communications on ethics and compliance topics in the Region, (ii) the consistent application of compliance laws
Third Party Management & Due Diligence:
o Manages, reviews, and/or approves the engagement of Third Parties under GROUP 42 policies.
o Provides ethics and legal compliance due diligence support for any acquisitions and divestitures.

Qualifications/Requirements
· At least 5 years’ experience in a large law firm or the equivalent, with at least 1-year experience in the area of conflicts, compliance, or risk management
· Licensed attorney; law degree
· J.D. Required.
